Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Briefloop, including the website at briefloop.app, the Briefloop application, and any related services (collectively, the "Service"). The Service is operated by Idea Crafters LLC ("Briefloop", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. When you create an account, you agree to provide accurate information and keep it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us promptly at contact@briefloop.app if you suspect unauthorized access.

2. Workspaces and roles

Briefloop is organized around workspaces. The person who creates a workspace, or who is designated as an administrator, can invite team members, assign roles (admin, project manager, creative, or reviewer), manage projects, and remove access. If you are invited to a workspace, the workspace administrator may have visibility into your activity within that workspace.

3. Acceptable use

You agree not to:

  • Use the Service in violation of any law or regulation.
  • Upload, share, or generate content that is unlawful, infringing, defamatory, harassing, abusive, or obscene, or that contains malware.
  • Infringe the intellectual property, privacy, or other rights of any person.
  • Attempt to access another user's account, probe or scan our infrastructure, bypass rate limits, or interfere with the Service's integrity or security.
  • Reverse engineer, decompile, or attempt to extract source code, except as expressly permitted by law.
  • Use the Service to send spam or unsolicited communications.
  • Resell, sublicense, or otherwise commercially exploit the Service without our written consent.

We may suspend or terminate accounts that violate these rules.

4. Your content

You retain all ownership rights in the creative files, comments, annotations, and other content you upload or submit to the Service ("Your Content"). You grant Briefloop a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and process Your Content solely as necessary to provide and improve the Service, and to enable the collaboration features you request (for example, sharing a review link).

You represent and warrant that you have all rights necessary to upload Your Content to the Service and to grant the license above.

5. Feedback

If you send us suggestions or feedback about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

6. Briefloop intellectual property

The Service, including its software, design, branding, text, and other materials (other than Your Content), is owned by Idea Crafters LLC or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

7. Third-party services

The Service integrates with third-party services (for example, Google Sign-In, Stripe for payments when launched, OneSignal for push notifications, and Postmark for email delivery). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

8. Plans, fees, and payment

The Service may include free and paid plans. Paid plans, when launched, will be processed through Stripe. Fees, billing cycles, and refund terms for paid plans will be presented at the point of purchase and incorporated into these Terms by reference. Unless otherwise stated, fees are non-refundable except where required by law. We may change pricing on prospective renewal terms with reasonable notice.

9. Beta features

We may make features available on a beta or early-access basis. Beta features are provided "as is," may be discontinued or changed at any time, and are not subject to any availability or support commitments.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if your use creates a security or legal risk for Briefloop or other users, or if we discontinue the Service. On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEA CRAFTERS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Idea Crafters LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms or violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable rights you may have under the laws of your country of residence.

15. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. If we make material changes to these Terms, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.

16. Miscellaneous

These Terms (together with our Privacy Policy) constitute the entire agreement between you and Briefloop regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
